About the Role
We’re expanding our team and inviting Company Secretaries at all career stages (Junior to Senior Manager) to apply. Responsible to manage corporate governance, statutory compliance, and high-volume financial account operations. This role is critical in supporting IPO-ready clients and ensuring seamless coordination with licensed entities. The ideal candidate will thrive in a fast-paced environment, balancing traditional company secretarial duties with meticulous document handling for bulk account openings.
Key Responsibilities
Corporate Governance & Compliance:
- Prepare board resolutions, AGM/EGM documentation, and statutory filings.
- Maintain statutory books, registers, and records (e.g., directors, shareholders).
Ensure compliance with the Companies Ordinance and regulatory requirements.
Liaise with Type 1 (Dealing in Securities) and Type 6 (Advising on Corporate Finance) licensed entities on IPO-related matters.
Account Management & Documentation:
Lead end-to-end processes for opening high volumes of bank accounts and securities accounts (e.g., for corporate clients, SPVs, or fund structures).
- Manage document collation, verification, and submissions (KYC, account forms, regulatory filings).
- Track account statuses, deadlines, and renewals; resolve discrepancies proactively.
Stakeholder Coordination:
- Advise directors/shareholders on governance best practices.
- Collaborate with internal teams (Legal, Finance, Compliance) and external regulators.
- Handle entity incorporations, dissolutions, and restructuring.
Requirements
- Qualified Company Secretary (HKICS/ICSA) or equivalent.
5+ years in company secretarial roles (financial/legal services preferred).
- Candidates with less experience may consider as Junior Grade.
Proven experience managing high-volume account openings (bank and securities).
Expertise in IPO processes and familiarity with SFC Type 1 & 6 licensing requirements.
Fluent in Mandarin and Cantonese (written & spoken); proficiency in English.
- Mastery of document management systems and compliance platforms.
Preferred for Senior Grades:
- Experience advising listed companies or IPO candidates.
- Leadership skills (mentoring junior staff, managing workflows).
- Knowledge of CCASS, securities settlement systems, or corporate banking.
